CityWork (henceforth "we," "us," or "our"). By accessing or using our services, you agree to the following terms of service.

Liability for Negative Social Outcomes - Real Estate Investors Clause
The use of CityWork’s data, reports, or analysis by property investors, Real Estate Investment Trusts (R-REITs), Delaware Statutory Trusts (DST 1031s), banks, private equity firms, hedge funds, or corporate landlords, for the purpose of analyzing or supporting in any way the furtherance of real estate investment, is explicitly prohibited. The commercial use, resale, or monetization of CityWork’s data without express written consent is strictly prohibited. If such prohibited use results in any amount negative outcomes, including but not limited to fiscal, economic, mental, or social harm, to poor and working-class individuals or communities, or renter households earning under MSA median wages, the party responsible for such use will be liable to pay a fine of $10 million. This fine will be paid in annual installments, with all funds allocated to the development and maintenance of homeless shelters and supportive services for those in deemed in need by federal standards.

No Warranties
Our services, data, reports, and analysis are provided on an "as-is" and "as-available" basis without warranties of any kind. Users should independently verify any information before relying on it.

Jurisdiction
By using our services, you agree that these terms are governed by and construed in accordance with the laws of all U.S. states, territories, and minor outlying islands. You consent to submit to the jurisdiction of any court, tribunal, or authority empowered to hear disputes related to these terms within the United States. The use of CityWork’s data or services outside of the United States, its territories, or minor outlying islands is strictly prohibited. These Terms shall be governed by and construed in accordance with the laws of the United States, including all states, territories, and minor outlying islands. You consent to the exclusive jurisdiction of federal and state courts located within a state of CityWork LLC’s choosing for any disputes arising from or relating to these Terms. The use of our data or services outside of the United States, its territories, and minor outlying islands is strictly prohibited and constitutes a violation of these Terms.

In no event shall CityWork be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or reliance on our services, including but not limited to errors, omissions, inaccuracies, or delays in the information provided. This includes, without limitation, any loss of profits, business interruption, or data loss.

You agree to indemnify, defend, and hold CityWork harmless from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your use of our services, any breach of these terms, or reliance on any data or information provided.

All data provided by CityWork is intended for informational purposes only. It is not a substitute for professional advice. You acknowledge that any decisions or actions based on our data are at your sole risk. The commercial use, resale, or monetization of CityWork’s data without express written consent is strictly prohibited.

‍Information Protection and Social Media
You agree that any information, data, or content shared, posted, or disseminated through social media platforms such as Instagram, Facebook, LinkedIn, or others is at your own discretion and risk. CityWork is not responsible for the protection, privacy, or confidentiality of information once it is shared on external platforms. Users are advised to adhere to best practices for privacy and follow the respective social media platform’s guidelines and privacy policies.

By using this site, engaging with CityWork’s data in any capacity, or interacting with CityWork online through any and all social media outlets, or in any and all offline capacities, as well as through any other outlets, you automatically accept these terms and in doing so you waive any requirement for explicit acceptance of these terms by engaging with our data or services.

Binding Arbitration and Waiver of Class Action
You agree that any disputes arising from or related to these Terms will be resolved exclusively through binding arbitration, to be conducted in a state of CityWork LLC’s choosing. You waive your right to bring or participate in any class action or representative proceeding against CityWork.

‍Force Majeure
CityWork shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, natural disasters, embargoes, governmental restrictions, pandemics, supply chain disruptions, or technical failures ("Force Majeure Event"). In such events, CityWork’s obligations will be suspended until the Force Majeure Event ceases.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. The remainder of these Terms shall remain in full force and effect.

Entire Agreement
These Terms, along with any additional terms and conditions incorporated herein or referenced, constitute the entire agreement between you and CityWork with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral.

Termination and Suspension
CityWork reserves the right to terminate or suspend access to its services at its sole discretion, without prior notice, for conduct that it believes violates these Terms or is harmful to other users, CityWork, or third parties, or for any other reason. Upon termination, your rights to use the services will cease immediately, and any continued access will constitute a violation of these Terms.

All intellectual property rights, including copyrights, trademarks, and proprietary information related to CityWork’s services, content, data, and analysis, are owned by CityWork or its licensors. You agree not to reproduce, distribute, modify, create derivative works from, or otherwise exploit CityWork’s intellectual property without prior written permission. Unauthorized use of any CityWork intellectual property will result in legal action.

User Obligations and Representations
By accessing or using CityWork’s services, you represent and warrant that:You have the legal authority to enter into and comply with these Terms.You will not use the services for any unlawful or fraudulent purposes.You will not interfere with the integrity or performance of CityWork’s services, data, or servers.

No Third-Party Beneficiaries
These Terms are intended solely for the benefit of you and CityWork. No other person or entity shall be considered a third-party beneficiary of these Terms.

Governing Language
These Terms are drafted in English, and any translation into another language shall be for convenience only. In the event of a conflict or inconsistency between the English version and any translated version, the English version shall prevail.

Non-Waiver
The failure of CityWork to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of CityWork.

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of CityWork. CityWork may freely assign these Terms without restriction.
